This is an
unlimited use license. Music may be synchronized with any number of film or
video projects in which the above named User is directly involved.

License is
royalty-free. However, User is required to submit a cue sheet to BMI if
licensed music is to be used in television and/or radio broadcast(s). No additional fee will be
charged to User.

License is
non-exclusive. Publisher may issue similar licenses for the same music to
other parties.

Publisher
retains 100% of the copyright ownership of all titles under the protection of
United States copyright laws.

License
applies to the synchronization of the provided sound recordings with User's
film or video production. No right to use or release a different recorded
performance of the music is granted.

License may
not be transferred to another party. User may not sell, trade, share, lend, rent or
lease the sound recordings of the licensed music in any format. This includes,
but is not limited to compact disc, digital video disc, tape recordings,
Internet uploads and downloads.

Music may not
be duplicated in any fashion except in the synchronization or timed relation
with User's film or video production(s).

Music may not be altered, with the following exceptions: music length may be
decreased in order to fit the project. Tempo and pitch may not be changed. Music may be crossfaded and
looped.

User shall
include a general credit listing for the music. For example: Music from Movie
Music Source composed by Jason Peri.

Publisher
warrants that it has the right to grant this license, that it owns and
controls one hundred percent (100%) of the right, title and interest in and to
said musical composition(s) and that the use of said musical composition(s)
hereunder will not violate the rights of any third party.

License shall
endure for a period of 99 years.

Any use of
licensed music other than that which is described in this document may be
granted by Publisher under a separate agreement. An additional fee may be
required.

License is
valid for use in recorded video and film media for up to 10,000 units
produced. A separate license must be obtained from Publisher for more than
10,000 units produced. Beyond the initial 10,000 units, an additional fee of
$75.00 is required for every ten minutes of music used, per 50,000 units produced.

Upon payment
for, and use of the above named licensed music, User agrees to abide by all the
terms set forth above. Purchase of this music library shall be considered
User's acceptance of the terms specified in this license. Any breach of these
terms shall be grounds for legal action by Publisher to obtain financial
remedies.
